Terms of Service

These terms apply to Cleavo: the Discord bot, the dashboard at cleavo.xyz/dashboard and this website (together, the “Service”), provided by Server Guy Solutions – FZCO (“we”). By adding Cleavo to a Discord server, using the dashboard, buying a tier or pressing a Cleavo button such as Allow DMs, you agree to these terms. If you do so on behalf of a server or organisation, you confirm you’re allowed to accept them for it.

1. The Service

Cleavo runs automations in Discord servers: each one starts from an event (a member joining, a role, a form, a ticket, a Whop membership or review) and gives roles, sends messages and forms, and opens and closes tickets. With a Whop bound to the server, it also runs win-back, review rewards, the Whop card in tickets, discounts and Whop messages. Features may change, be added or be removed as the Service evolves.

2. Discord and Whop

Cleavo runs on Discord and can connect to Whop. You must follow Discord’s Terms of Service and Community Guidelines, and Whop’s terms if you bind a Whop. Only an owner or admin of a Whop can bind it to a server, by installing Cleavo’s Whop App. Cleavo is not affiliated with, endorsed by or sponsored by Discord Inc. or Whop. We’re not responsible for payments, refunds or disputes between a Whop and its members.

3. Your server and your members

As a server admin who sets Cleavo up, you’re responsible for how it’s used in your server, including:

• the automations, messages, forms and tickets you configure, and the roles, access, free days and discounts they give;
• telling your members how their information is used, and having a valid reason to collect it;
• not asking members for passwords, payment card details or sensitive personal data through Cleavo;
• your logs channel: transcripts, form uploads and notices Cleavo posts there are your server’s own records. You decide who can see them and how long they’re kept, and you answer your members’ requests about them;
• review rewards: every reviewer must get the same reward. A reward that depends on the rating or on what the review says is against the law in many places (in the US, 16 CFR 465.4). Use the rating only to route follow-ups;
• Whop messages, which Cleavo posts in your Whop’s support chat on your Whop’s behalf.

4. DMs and consent

If you’re a member of a server: by pressing Allow DMs in that server, you agree that Cleavo may message you, on behalf of that server, about your membership and that server, for example a cancellation, a failed payment, a ticket or a review, including your membership on the Whop bound to that server. Your consent is per server, and you can withdraw it at any time with the Stop DMs button on any Cleavo DM.

If you’re a server admin: Cleavo only DMs members who allowed it, and you may only use DMs for messages about the member’s membership and your server, never for advertising or unsolicited marketing.

5. Tiers and payment

• Cleavo has a Free tier and paid tiers (Pro and Business), each for one server. The prices and what each tier includes are on our pricing, and shown again before you pay.
• Paid tiers are billed monthly or yearly through Whop, which handles the payment and the tax. They renew automatically until you cancel on Whop; after cancelling, the tier stays until the end of the period you paid for.
• A tier belongs to the server, not to the person who paid. That person manages the payment on Whop.
• Each server can try Pro for free once, for 7 days.
• If a payment fails, everything keeps running while Whop retries it. If a tier ends or drops, every automation is switched off, nothing is deleted, and a server admin switches back on the ones that fit the new tier’s limits.
• There’s no cap on runs. To keep Cleavo fast for everyone, a server whose automations run unusually often may be slowed down.
• Refunds follow the policy shown at checkout, on top of any right to a refund the law gives you. We announce price changes in advance; they apply from your next renewal.

6. Support

All support, billing included, happens in our Discord server. Business servers get a private priority channel there. You can also email contact@cleavo.xyz.

7. Acceptable use

You agree not to use the Service to:

• break the law, or Discord’s or Whop’s terms;
• spam, harass, scam or mislead people, including through DMs, tickets or Whop messages;
• overload, disrupt or attack the Service, or get around its limits, tiers or security;
• copy, resell or reverse-engineer the Service.

8. Availability

We work to keep Cleavo running, but the Service is provided “as is” and “as available”, without guarantees of uptime or that it will be error-free. Discord or Whop outages and changes can also affect it.

9. Removing Cleavo, suspension and termination

You can remove Cleavo from your server at any time. Its setup is then kept for 30 days, so you can restore it by adding Cleavo back, and deleted after that. Removing Cleavo doesn’t cancel a paid tier: cancel it on Whop. We may suspend or end access to the Service for a server or account that breaks these terms, or if we have to for legal or security reasons.

10. Liability

To the extent permitted by law, we’re not liable for indirect or consequential losses, such as lost revenue, lost members or lost data, arising from your use of the Service. Nothing in these terms limits liability that cannot be limited by law.

11. Privacy

How we handle personal data is explained in our Privacy Policy.

12. Changes

We may update these terms. If a change is significant, we’ll announce it in our Discord server before it takes effect. Continuing to use the Service after that means you accept the new terms.

13. Governing law

These terms are governed by the laws of the United Arab Emirates, without affecting any mandatory consumer protections you have where you live. Disputes are subject to the exclusive jurisdiction of the competent courts of the UAE.
